Terms & Conditions

These terms set out the basis on which Rachan Counsel provides family legal services. We encourage you to read them carefully. If anything is unclear, please reach out to us before engaging our services.

1. Definitions

In these Terms and Conditions, the following terms carry the meanings assigned below:

  • "Agreement" — these Terms and Conditions together with any engagement letter, service confirmation, or written scope agreed between the parties.
  • "Client" / "You" / "Your" — the individual or family engaging Rachan Counsel for legal services.
  • "We" / "Us" / "Our" / "Rachan Counsel" — Rachan Counsel, operating at 133 Beach Road, Nong Prue, Bang Lamung, Chonburi 20150, Thailand.
  • "Service" — any family legal consultation, arrangement support, or representation provided by Rachan Counsel as described in Section 3.
  • "Content" — all documents, written summaries, correspondence, reports, and any other materials produced by us in connection with a Service.
  • "Fee" — the applicable price for a Service as stated in our current schedule or confirmed in writing.

2. Acceptance of Terms

By requesting, booking, or receiving any Service from Rachan Counsel — whether through our website, by phone, by email, or in person — you confirm that you have read, understood, and agree to be bound by this Agreement.

  • You must be at least 18 years of age to engage our services.
  • You confirm that you have the legal capacity to enter into a binding agreement.
  • If you are acting on behalf of another person, you confirm you have appropriate authority to do so.
  • If you do not agree with any part of these terms, please do not proceed with engaging our services and contact us to discuss your concerns.

3. Service Description

Rachan Counsel provides family legal services to individuals and families in Thailand. Our current service offerings are:

Service 1

Family Steadying Consultation

A private first meeting to understand your situation and explain your options calmly. Includes a written summary. Typical scope: one session over two weeks. Fee: ฿4,400.

Service 2

Family Arrangement Support

Considerate help arranging family agreements while keeping conflict low. Includes document preparation and correspondence management. Typical scope: one to two months. Fee: ฿9,600.

Service 3

Full Family Representation

Complete handling of a contested family matter to its conclusion. Includes a closing report. Built for more involved cases. Fee: ฿16,800.

Services are available primarily to clients based in or with matters arising in Thailand. We reserve the right to decline engagements that fall outside our practice area or where a conflict of interest exists.

4. Client Responsibilities

To enable us to serve you effectively, you agree to the following:

4.1 Accurate Information

You will provide complete, truthful, and timely information relevant to your matter. Providing false or misleading information may affect the quality of the advice given and could constitute a breach of this Agreement.

4.2 Cooperation

You will respond to reasonable requests for information, documents, and instructions within a reasonable timeframe. Delays caused by your failure to respond may affect timelines and are not the responsibility of Rachan Counsel.

4.3 Acceptable Use

You agree not to use our services for any unlawful purpose, to harass or intimidate another party, or in any manner that could cause harm to a third party. You agree not to misrepresent your identity or circumstances.

4.4 Prohibited Activities

  • Attempting to use our advice to facilitate fraud or deception
  • Sharing our confidential work product with third parties without consent
  • Using our Content in contexts for which it was not prepared
  • Submitting fraudulent documents or evidence

5. Intellectual Property

All documents, written summaries, correspondence, reports, templates, and other Content prepared by Rachan Counsel remain our intellectual property unless expressly transferred in writing.

We grant you a limited, non-exclusive, non-transferable licence to use Content produced for your specific matter for the personal purpose for which it was created. You may not reproduce, distribute, or publish such Content for commercial purposes without our written consent.

Our website content, branding, and materials are protected by applicable intellectual property laws. Unauthorised use is not permitted.

6. Payment Terms

6.1 Fees

All fees are quoted and payable in Thai Baht (฿). The applicable fee for each service is as stated at the time of engagement. Fees may be reviewed periodically; any change will be communicated before it applies to your matter.

6.2 Payment

Payment terms will be confirmed in writing at the start of your engagement. We accept bank transfer and other payment methods as confirmed at engagement. Service commencement may be conditional on receipt of payment or an agreed deposit.

6.3 Refunds

Refund eligibility depends on the stage and nature of the engagement. Where a Service has not commenced, a full refund will generally be considered. Once substantive work has been carried out, fees for work performed are not refundable. Specific refund terms will be set out in your engagement letter where relevant.

7. Service-Specific Terms

7.1 Scope of Services

The scope of each engagement will be set out at the time of instruction. Work outside the agreed scope may require an additional fee and a revised engagement letter.

7.2 Timelines

We will work within the typical timeframes described for each service. Actual timelines may vary depending on the complexity of your matter, court or authority schedules, and the cooperation of third parties. We will keep you informed of any material changes.

7.3 Confidentiality

We take the confidentiality of your matter seriously. Information you share with us will be held in confidence and used only for the purpose of your engagement, subject to our legal and professional obligations.

7.4 Communication

We will provide updates appropriate to the service level engaged. For Full Family Representation, we commit to warm, frequent updates. You may also contact us with questions during the engagement.

8. Disclaimers

Legal outcomes depend on many factors, including decisions made by courts, government authorities, and other parties, which are outside our control. Our advice reflects the law and circumstances as they appear at the time it is given.

Nothing in our website content or marketing materials constitutes legal advice for your specific situation. Formal legal advice is provided only within the context of an engagement.

We do not represent that any particular outcome will be achieved. Our role is to advise, support, and represent you with skill and care, not to determine results.

9. Limitation of Liability

To the maximum extent permitted by Thai law, our total liability to you arising from any engagement shall not exceed the total fees paid by you for the specific Service giving rise to the claim.

We are not liable for any indirect, consequential, or incidental losses, including loss of income, emotional distress, or losses arising from circumstances outside our reasonable control.

Force majeure events — including but not limited to natural disasters, government actions, public health emergencies, or court system disruptions — may affect timelines and obligations. Neither party shall be liable for delays caused by such events.

10. Indemnification

You agree to indemnify and hold Rachan Counsel, its staff, and associates harmless from any claims, losses, costs, or expenses (including reasonable legal fees) arising from your breach of this Agreement, your provision of false information, or your use of our Content outside the permitted scope.

11. Termination

11.1 By the Client

You may terminate an engagement at any time by written notice to us. Fees for work completed up to the date of termination remain payable.

11.2 By Rachan Counsel

We may terminate an engagement with reasonable notice where there is a conflict of interest, a material breach of this Agreement by you, or where continuing the engagement is no longer appropriate in our professional judgement. We will handle any such situation with care and discretion.

11.3 Survival

Provisions relating to intellectual property, limitation of liability, indemnification, confidentiality, and dispute resolution shall survive the termination of any engagement.

12. Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Kingdom of Thailand, including the Civil and Commercial Code and applicable consumer protection legislation.

12.1 Informal Resolution

If a dispute arises, we encourage you to contact us first at [email protected] so that we may seek to resolve the matter informally and with goodwill.

12.2 Jurisdiction

If informal resolution is not achieved, disputes shall be subject to the exclusive jurisdiction of the courts of Chonburi Province, Thailand, unless otherwise required by applicable law.

12.3 Mediation

The parties may agree to attempt mediation before formal proceedings, using a mediator acceptable to both sides. Mediation costs shall be shared equally unless otherwise agreed.

13. General Provisions

Entire Agreement: This Agreement, together with any engagement letter, constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior discussions.

Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any provision at any time does not constitute a waiver of that provision or of our right to enforce it subsequently.

Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign or transfer this Agreement in connection with a reorganisation of our practice.

Notices: Notices under this Agreement may be sent by email or written letter to the contact details on record for each party.

14. Changes to Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or practice. The updated version will be posted on our website with the revised effective date.

If you are engaged in an ongoing matter at the time of a material change, we will notify you directly. Continued use of our services following a material update will constitute acceptance of the revised terms.

We encourage you to review these terms periodically. The version in effect at the start of each engagement shall govern that engagement unless you are notified otherwise.
